This article looks at developments in European corporate governance in recent years notably under the influence of corporate scandals such as Enron. It describes a tendency towards convergence of corporate governance regimes as a two way process-continental European countries accepting to a certain degree the Anglo-American model, and the United Kingdom accepting through directives elements of the continental social model. The article also contrasts the European approach of voluntary codes (with an obligation to comply or explain in the annual report to the shareholders) with the regulatory approach in the US, an approach which is sanctioned by the EU's High Level Group of company law experts, given the lack of flexibility in directives.
