The costs of savings: the case of innovative start-up limited liability companies – The article deals with the peculiar case of the Italian so-called “innovative start-up limited liability companies”, which, at a certain point, were allowed to be incorporated by means of a private (i.e. unnotarized) deed, digitally signed,although through a ministerial decree which was later definitively annulled by a Council of State decision. This raises the need to precisely determine the consequences of such an annulment, which is considered as a hypothesis of supervening “nullity” of the company, and the ways in which this “nullity” can be rectified. The paper concludes with more general considerations about the actual cost of this kind of rough simplifications, aimed to obtain (illusory) savings.
